2024 AGM, Annual Report, Voting Material & Online Voting Instructions

Members are advised that the 2024 AGM is being held on Wednesday 16 October 2024 at 730pm.  Members can access and download the 2024 AGM information by following the links below.

Further to the website post dated 16 September, the four Officers (President, Captain, Secretary and Treasurer) have been duly elected as the nominations equalled the available positions.  As the number of candidates for the position of General Director exceeded the 6 vacancies, an election is required.

Voting in the Board election and submitting a proxy for the Special Resolution can be completed through the Vero Online Electronic Voting System (instructions provided below). Each Voting Financial Member with a registered email address will receive an email from Vero Voting containing a link to vote in the Board Elections (Director) and to submit a proxy for the Special Resolution (for those not attending the AGM). It is important to note that once you vote for Director positions you cannot view or change your vote. However, you can change your proxy vote for the special resolution, after submission, by cancelling and doing it again (Instructions below). This can be done any time before the proxy closing date.

Please note: Voting during the AGM and submitting proxies is only for the Special Resolution. Members will not be able to vote for the Board Elections on the night. Voting for the Board must be completed either by using a manual voting paper (available for pick-up from the office) or through the Vero Online Electronic Voting System. If you have not received your email from Vero Voting by 5 p.m. on Friday, 20th September 2024, please contact the office. Also, be sure to check your junk or quarantine folder for the email.

A reminder of the closing dates:

  • Proxy close date for Special Resolutions: Monday 14th October, 2024 5:00pm
  • Board Election close date: Tuesday 15th October, 2024 5.00pm

Instructions for the Online Election Voting and Special Resolution Voting, via the Vero Voting System, are below:

Vero Member Email 

All Voting Financial Members, with a registered email address, will receive an email from Vero Voting with a link to vote for the Board Elections (Director) and  to submit a proxy for the Special Resolution (For those not attending on the night of the AGM). Each email will have a unique username and pin which can be used to log back into the portal if you are logged out. Example below:

Information Portal

Once you click on either the Vote Now (Board Elections) or Lodge a Proxy (Special Resolution) buttons you will be directed automatically to the Welcome to the Yarra Yarra Golf Club Voting Portal as shown below. On the Voting Portal you will have two options:

  • Submit a Proxy for the AGM for the Special Resolution
  • Vote on the Board Election

Board Election Voting

To cast your vote in the Board Election, simply click on the “Vote Here” button located in the information portal, as shown below:

After clicking the “Vote Here” button, you will be redirected to the Board Election home page, as shown below. On this page, you can either select the “2024 Candidate Elections” information or click the “Continue to Vote” button to progress to the voting page.

After reviewing the candidate election information (if you choose to), simply click the “Continue to Vote” button at the bottom right of the page. This will bring up the voting screen, as shown below.

To cast your vote, select 6 out of the 7 candidates by clicking the box next to their names. Once you have chosen 6 candidates, you can click the “Submit Vote & Continue” button located at the bottom right of the screen.

Please note: You must select 6 candidates in order to submit your vote. If you do not choose 6, the system will not allow you to proceed. Additionally, once you submit your vote for the Board Elections, it cannot be changed or reviewed later.

Once your vote is submitted you will receive an acknowledgement screen, example below:

Special Resolution Proxy Voting

If you are unable to attend the Annual General Meeting and wish to appoint a proxy to vote on the Special Resolution (Social Members), please click the “Lodge a Proxy” button in your original email. This will redirect you to the Information Portal page, as shown below.

To submit a proxy for the special resolution, simply click on the “Submit a Proxy” button located in the information portal, as shown below:

After clicking the “Submit a Proxy” button, you will be taken to the Annual General Meeting Portal, where you can view the AGM Notice of Meeting, Annual Report, 2023 AGM Minutes, and submit a proxy for the Special Resolution (Social Member) at this year’s AGM. Example below:

To view the AGM information, simply click on the documents at the bottom of the portal. See example below:

To submit a proxy for the Special Resolution (Social Member) at the AGM, click on the “Proxy” tab at the top of the AGM portal. This will take you to the proxy submission screen, as shown below.

On the proxy page, you will need to choose whom you would like to appoint as your proxy for the Special Resolution. You have two options:
– Appoint the Chair of the Meeting
– Enter the name of the person you wish to designate as your proxy

If you choose to appoint the Chairperson as your proxy, click the circle next to “Appoint the Chair of the Meeting” to select the Chairperson. If you prefer not to direct your vote, leave the checkbox unchecked and click the “SUBMIT PROXY” button, which will allow the Chairperson to vote at their discretion.

If you wish to direct your vote then click the checkbox ‘I want to instruct my proxy to vote in a certain way.’ and then press the “Direct to Vote” button. Example below:

After clicking the “Direct to Vote” button, you will have the option to instruct the Chair of the meeting to vote in a specific way by selecting either For, Against, or Abstain. Then, click the “Submit” button. Example provided below:

A confirmation screen will appear once you have submitted your proxy. Example below:

If you wish to appoint another voting member as your proxy (who must be attending the AGM), click the circle next to “Enter the name of the person you are appointing.” A dialog box will appear (as shown below), allowing you to enter their name. If you prefer not to direct your vote, leave the checkbox unchecked and click the “SUBMIT PROXY” button, which will give your proxy the discretion to vote on your behalf.

If you wish to direct your vote then click the checkbox ‘I want to instruct my proxy to vote in a certain way.’ and then press the “Direct to Vote” button. Example below:

After clicking the “Direct to Vote” button, you will have the option to instruct the member at the meeting to vote in a specific way by selecting either For, Against, or Abstain. Then, click the “Submit” button. Example provided below:
